By accessing or using our website and placing any order, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, please do not use our services.

Product Descriptions

All products listed on xofabric.com are manufactured by XO Fabric. Product descriptions, specifications, images, and pricing are provided for informational purposes. While we strive for accuracy, minor variations in color, texture, and specifications may occur due to the nature of textile manufacturing.

Custom Orders

  • Custom orders (including custom colors, finishes, or specifications) are subject to specific terms agreed upon in writing.
  • Sample approval is required before bulk production of custom orders.
  • Custom orders may have different pricing, lead times, and minimum order quantities.

Product Samples

  • Sample requests are available for quality evaluation prior to bulk orders.
  • Sample fees are non-refundable but may be credited toward subsequent bulk orders.
  • Sample lead time: 5–10 business days.

Orders & Pricing

Order Acceptance

Orders are only confirmed upon written acknowledgment from XO Fabric. A proforma invoice (PI) will be issued for your review and deposit payment.

Pricing

  • All prices are quoted in USD unless otherwise specified.
  • Prices are FOB Guangzhou/Foshan, China (unless otherwise agreed in writing).
  • Prices do not include freight, insurance, customs duties, or taxes at the destination.

MOQ applies per color/lot unless otherwise agreed in writing.

Lead Time

Standard lead time is 10–20 business days from the date of deposit receipt, depending on order volume, color matching, and production scheduling. Lead time begins after all order details are confirmed and deposit is received.

Payment Terms

Accepted Payment Methods

T/T (Telegraphic Transfer) 30% deposit to start production; 70% balance before shipment
L/C at Sight Available for orders over $5,000; subject to approval
PayPal / Credit Card Available for sample orders and small quantities only

Payment Conditions

  • Deposit is non-refundable if customer cancels after production has begun.
  • Orders will not proceed to production until deposit is received and confirmed.
  • Balance payment must be received before shipment unless otherwise agreed in writing.
  • Late payments may incur interest at 1.5% per month on overdue amounts.

Currency

All transactions are conducted in USD unless otherwise agreed in writing.

Shipping & Delivery

Incoterms

Unless otherwise specified, all shipments are under FOB (Free on Board) terms at Guangzhou Port or Foshan Port, China.

Shipping

  • Customer is responsible for arranging freight, insurance, and customs clearance from the named port of shipment.
  • Shipping costs are borne by the buyer unless otherwise agreed.
  • We recommend obtaining marine insurance coverage for your shipment.

Delivery Time

  • Delivery dates are estimates and not guaranteed.
  • XO Fabric is not liable for delays caused by force majeure events, shipping carriers, or customs procedures.
  • We will provide tracking information and shipping documents upon shipment.

Risk of Loss

Risk transfers to the buyer once goods are loaded onto the vessel at the port of shipment. Buyer assumes all risks related to transportation, customs clearance, and delivery.

Quality & Inspection

Quality Standards

  • All products undergo quality inspection before shipment.
  • Products meet the specifications agreed upon in writing between both parties.

Inspection

  • Buyer or designated inspection agent may inspect goods prior to shipment (at buyer’s expense).
  • Pre-shipment inspection (e.g., SGS, Bureau Veritas) can be arranged upon request and at buyer’s cost.

Claims & Disputes

  • Claims regarding quantity or visible damage must be reported within 7 days of receipt.
  • Claims regarding quality issues must be reported within 14 days of receipt with photographic evidence.
  • XO Fabric reserves the right to require returned samples for verification.
  • No claims will be accepted after the fabric has been cut, processed, or transformed.

Remedy

For valid claims, XO Fabric’s liability is limited to replacement of the affected goods or a credit note, at our discretion. XO Fabric is not liable for indirect, consequential, or incidental damages.

Intellectual Property

Ownership

All designs, patterns, trademarks, and intellectual property displayed on xofabric.com belong to XO Fabric or its partners unless stated otherwise.

Confidentiality

  • Any proprietary information, technical data, or trade secrets shared between parties shall remain confidential.
  • Both parties agree not to disclose confidential information to third parties without written consent.

Customer Designs

If you provide custom designs or artwork for production, you represent that you have the right to use such designs and indemnify XO Fabric against any intellectual property claims.

Returns & Cancellations

Cancellation Policy

  • Orders may be cancelled before production begins (subject to deposit forfeiture).
  • Once production has started, orders cannot be cancelled.
  • Custom or bespoke orders are non-cancellable once production begins.

Returns

  • Due to the nature of textile products, returns are not accepted unless the goods are defective.
  • Defective goods may be replaced or credited at XO Fabric’s discretion.

Refunds

  • Deposits are non-refundable once production begins.
  • Refunds (if applicable) will be processed within 30 days of approval.

Limitation of Liability

XO Fabric shall not be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Delays caused by force majeure (natural disasters, war, strikes, government actions, etc.)
  • Issues arising from customer’s improper use, storage, or handling of products
  • Differences in color, texture, or specifications within industry tolerances

XO Fabric’s total liability for any claim shall not exceed the value of the specific order in question.

Force Majeure

XO Fabric is not responsible for failure or delay in performance due to causes beyond our reasonable control, including but not limited to:

  • Natural disasters, earthquakes, floods, or pandemics
  • War, terrorism, civil unrest, or government restrictions
  • Strikes, labor disputes, or transportation failures
  • Supplier or sub-contractor delays
  • Changes in laws or regulations

Affected parties shall notify the other in writing within 48 hours and use reasonable efforts to mitigate the impact.

Governing Law & Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law provisions.

Dispute Resolution

  • Any disputes arising from these Terms shall be resolved through friendly negotiation.
  • If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration.
  • Arbitration shall be conducted in Guangzhou, China.
  • The arbitration decision is final and binding on both parties.

Language

  • These Terms are written in English.
  • In case of discrepancy between the English version and any translation, the English version shall prevail.

Amendments

XO Fabric reserves the right to modify these Terms at any time. Changes will be effective upon posting on xofabric.com. Continued use of the website after changes constitutes acceptance of the updated Terms.
